AI Ops Squad (“Agency”) will deliver AI automation services as agreed in your selected package. This includes but is not limited to: AI SMS agent setup, CRM integration, workflow automation, voice AI configuration, lead capture systems, and ongoing support during the onboarding period. Exact deliverables are defined in your service proposal.
Client agrees to provide accurate business information, access to required platforms (as needed), and timely communication during setup. Client is responsible for all third-party platform costs outside of the Agency retainer — including but not limited to Twilio usage fees, CRM subscriptions, and any paid ad spend.
A one-time setup fee is due prior to project commencement. Monthly retainer invoices are issued on a recurring billing date. Accounts more than 10 days past due may result in service suspension. Setup fees are non-refundable once the Agency has begun work.
Client acknowledges that any SMS-based services require carrier registration under A2P 10DLC regulations. The Agency will submit registration on the client’s behalf; however, carrier approval timelines (typically 1–4 weeks) are outside the Agency’s control. Client agrees not to use any SMS system for spam, unsolicited messages, or any content violating TCPA, CAN-SPAM, or other applicable laws.
All workflows, automation blueprints, AI prompt architecture, and system designs created by AI Ops Squad remain the intellectual property of the Agency. Clients receive a usage license during active engagement. Upon contract termination, clients retain their account data and contacts; proprietary workflow logic developed by the Agency will be removed or deactivated.
Both parties agree to keep all proprietary processes, pricing, account credentials, and business strategies confidential. This obligation survives termination of the agreement.
After an initial 90-day commitment, services are month-to-month. Either party may terminate with 30 days written notice. The Agency reserves the right to terminate immediately for material breach of these terms.
Agency liability is capped at the value of one month’s retainer. The Agency is not liable for lost revenue, missed opportunities, or outcomes resulting from third-party platform outages, carrier disruptions, or client-side errors or omissions.
This agreement is governed by California state law. Disputes shall be subject to jurisdiction in San Diego County, California.
